business relationships. In my experience, businesses generally benefit from considering those options before committing to lengthy court proceedings. Negotiation is not appropriate in every situation. Cases involving fraud, repeated breaches, significant financial losses, or parties who refuse to participate in good faith often require formal legal action. There are also circumstances where immediate court intervention is necessary to protect contractual rights or business assets. The decision ultimately depends on the facts of the dispute and the client’s objectives. One of the first questions I ask is whether the matter can realistically be resolved before litigation costs begin to outweigh the value of continuing the dispute. How can well-drafted contracts reduce the likelihood of future disputes? Many contractual disputes begin because the parties interpreted the agreement differently. Clear drafting reduces that uncertainty by setting out each party’s responsibilities, establishing realistic deadlines, defining payment obligations, and addressing what happens if circumstances change during the life of the contract. I have found that well-drafted agreements also anticipate problems before they emerge. Standard contracts commonly include provisions covering notice requirements, dispute resolution procedures, default remedies, attorneys’ fees where appropriate, and the process for modifying the agreement if the parties decide to change its terms. Addressing these issues at the outset with unambiguous language gives everyone a better roadmap if a disagreement develops later. Some contracts also include negotiated remedies, such as liquidated damages provisions, which establish in advance the amount recoverable if certain obligations are not met. When those provisions are properly drafted and enforceable, they can eliminate disputes over how damages should be calculated, reduce uncertainty, and discourage parties from breaching the agreement in the first place. From my perspective, one of the best investments a business can make is spending the time to prepare a contract that reflects the realities of the relationship rather than relying on a generic template. A carefully drafted agreement cannot prevent every dispute, but it often makes resolving one far more straightforward if problems arise.
